We reserve the right to refuse service to any applicant who does not meet our internal criteria.

2. Use of Services

• Our services are intended for invoice factoring. By submitting invoices, you warrant that you have the legal right to assign the payment of such invoices to Maxx Capital.
• You agree to provide accurate and complete information, including all necessary documents related to the invoices.

3. Funding Process

• Funding will be provided upon broker approval, subject to our review and discretion.
• Fees, rates, and other charges will be transparently communicated during the funding process and vary based on monthly invoice volume.

4. Non-Recourse Factoring

• Our services are non-recourse. We assume the risk of non-payment by the broker unless fraud or a material breach of your representations is involved.

5. Prohibited Activities

You agree not to:

• Use our services for unlawful purposes.
• Provide false or misleading information.
• Attempt to circumvent our funding processes or systems.

6. Termination of Services

We reserve the right to terminate your access to our services at any time, without prior notice, if you violate these terms or fail to meet eligibility criteria.

7. Disclaimer

Our services are provided "as-is" without any warranties, express or implied. Maxx Capital disclaims liability for losses resulting from delays, errors, or misuse of the service.

8. Dispute Resolution

• Any disputes arising out of these terms will be governed by the laws of the State of Delaware.
